Terms of Use

These Terms of Use ("Terms") govern your use of Tollwicket ("Tollwicket", "we", "us"), a software platform for adding billing, authentication, and quotas to MCP (Model Context Protocol) servers. By creating an account, connecting Stripe, or using our APIs and SDKs, you ("Author") agree to these Terms.

1. What Tollwicket is, and is not

Tollwicket is software you install on top of your own Stripe account. We add OAuth 2.1, MCP Auth, per-tool entitlements, quotas, and a hosted checkout page on top of Stripe's payment processing.

We are not the merchant of record. Customer payments are processed by Stripe and land in your Stripe balance. Your business's name appears on customer card statements. You are responsible for refunds, chargebacks, taxes, and customer support.

2. Pricing and the 5% platform fee

Tollwicket's platform fee is structured as a monthly $1,000 free tier per Author:

  • For each of your monthly billing windows, the first $1,000 of cumulative customer payments is always free — Tollwicket charges you $0 on those.
  • Once your customer revenue in a window crosses $1,000, Tollwicket charges a 5% application fee on the portion above $1,000 — never on the first $1,000.
  • Each new monthly window resets to a fresh $1,000-free chunk.
  • Your monthly window is anchored to the calendar day on which you received your very first customer payment via Tollwicket. For example, if your first ever customer payment landed on the 11th, every monthly window starts on the 11th.

Worked examples (all per monthly window):
$0 in customer payments → Tollwicket: $0
$999 → $0
$1,500 → $25 (5% of $500 overage)
$2,000 → $50 (5% of $1,000 overage)
$5,000 → $200
$10,000 → $450

Our fee is collected automatically on a per-invoice basis as a Stripe application_fee_amount. The fee is transferred to Tollwicket's Stripe balance at the same moment your customer's payment lands in yours. You will never receive a separate bill or invoice from us.

Stripe's standard payment-processing fee (currently ~2.9% + 30¢ per transaction in the US, varying by region) is paid by you to Stripe directly, in addition to our 5% overage fee. We do not receive any portion of Stripe's processing fee.

We may change our pricing in the future. If we do, we will give you at least 30 days' notice via the email associated with your account, and the change will not apply retroactively to revenue already processed.

3. BYOK (legacy) pricing

If you connect Stripe via a Stripe restricted API key (the "BYOK" path, available on the Stripe settings page under "Advanced") instead of via Stripe Connect, the 5% overage fee does not apply. In its place, Tollwicket charges a flat monthly subscription based on your rolling-30-day customer revenue, as described on our pricing page under the "BYOK alternative" section. The BYOK pricing tiers are subject to change with 30 days' notice.

4. Your Stripe account

You must connect a valid Stripe account to process customer payments. By connecting:

  • You authorize Tollwicket to create products, prices, subscriptions, and checkout sessions on your behalf on your Stripe account, and to apply Tollwicket's platform fee to each invoice via Stripe's application_fee mechanism.
  • You remain the controller and merchant of record on your Stripe account. You can revoke our access at any time via your Stripe dashboard's Connected Apps page (or by removing our restricted API key if on BYOK).
  • Stripe's own Terms of Service apply to your Stripe account and any payments processed through it.

5. Refunds, chargebacks, and customer support

You are responsible for refunds, chargebacks, customer support, and tax compliance for your customers' payments. We do not issue customer refunds.

When you refund a customer's payment through Stripe, the corresponding Tollwicket application fee on that payment is also refunded by Stripe automatically — neither of us keeps anything from a refunded transaction.

6. Acceptable use

You may not use Tollwicket to:

  • Process payments for goods or services that are illegal in your jurisdiction or your customer's jurisdiction.
  • Violate Stripe's Restricted Businesses policy.
  • Sell, redistribute, or sublicense Tollwicket's APIs, SDKs, or hosted infrastructure as a standalone product.
  • Reverse-engineer, decompile, or attempt to derive source code from non-public parts of Tollwicket.
  • Send malicious traffic, abuse rate limits, or attempt to circumvent the metering / billing system.

We may suspend or terminate your account, with or without notice, if we reasonably believe you are violating this section — particularly if your activity exposes Tollwicket or other Authors to legal or financial risk.

7. Cancellation and account closure

You can stop using Tollwicket at any time by disconnecting Stripe in your dashboard settings and removing our SDK from your MCP server. Customer subscriptions that were created via Tollwicket will continue to operate on your Stripe account after disconnection; you can cancel them yourself in your Stripe dashboard. No fees from us going forward.

We may terminate your account for cause (acceptable-use violations, prolonged inactivity, fraud) on reasonable notice where practical.

8. Service availability

We aim for high uptime but do not currently offer an explicit SLA. Tollwicket is provided "as is" and "as available". For uptime-sensitive use cases, talk to us at /contact about an Enterprise agreement.

9. Limitation of liability

To the maximum extent permitted by law: (a) our aggregate liability to you under these Terms is limited to the Tollwicket platform fees you paid us in the twelve months preceding the claim, and (b) we are not liable for any indirect, consequential, special, or punitive damages, including lost revenue or lost profits.

Nothing in these Terms limits liability that cannot lawfully be limited (e.g. fraud or gross negligence).

10. Changes to these Terms

We may update these Terms from time to time. Material changes (in particular, pricing changes or changes to the acceptable-use rules) will be announced via email to the address on your account at least 30 days before they take effect. Continued use of Tollwicket after the effective date constitutes acceptance.
